Terms of Service

These Terms of Service (“Terms”) govern access to and use of the Inventory Management platform and related services provided by Elvarise Limited (“Elvarise”, “we”, “us” or “our”). By creating an account or using the Service, you agree to these Terms.

1. The Service

The Service is a business inventory and operations platform that may include product, customer, supplier, inventory, purchasing, sales, invoice, expense, reporting, user-management and related functionality. Features and limits depend on the plan assigned to the company account.

2. Business use and authority

The Service is intended for business use. You must be at least 18 years old and have authority to create an account for, or otherwise bind, the business or organisation you represent.

3. Accounts and security

You must provide accurate information and keep account details reasonably current. Company Administrators are responsible for managing authorised users and permissions. You are responsible for keeping login credentials confidential and for activity carried out through accounts you authorise. Contact us promptly if you believe an account has been compromised.

4. Plans, limits and optional modules

Plans may limit the number of users, products, customers or suppliers a company can create and may enable or disable optional modules. If a company moves to a plan with lower limits, existing business records are not automatically deleted; however, creation of additional records may be restricted until usage is within the applicable limit or the company moves to another plan.

5. Free plan and paid-plan trials

The Free plan is provided subject to its configured limits. When self-service registration is available, selecting a paid plan starts a seven-day trial without requiring a card. Unless paid access is activated before the trial ends, the company automatically falls back to the available Free plan. Falling back does not itself delete the company’s existing business data, but Free-plan limits and module availability then apply.

6. Upgrades, subscriptions and payment

A company Administrator may request an upgrade. An upgrade request does not itself activate paid access. Paid access begins only when Elvarise confirms or activates the subscription. Monthly and annual periods may be offered as shown in the Service.

Unless a separate checkout or recurring-payment arrangement expressly says otherwise, the Service does not treat a browser action, pending request or unverified payment as proof of payment or entitlement. Payment terms, invoices and any renewal arrangements communicated for a subscription form part of these Terms.

7. Expiry, cancellation and complimentary access

When paid or trial access expires or an active subscription is cancelled, the company may be moved to the available Free plan rather than having its business data deleted. Elvarise may grant complimentary access to a plan at its discretion. Complimentary access may be changed or withdrawn by Elvarise and does not represent a paid subscription unless expressly stated.

Suspending a company account blocks tenant access while the suspension remains in effect. Suspension does not by itself mean that stored business data has been deleted.

8. Acceptable use

You must not use the Service unlawfully, attempt to access another company’s data or accounts, interfere with the Service or its security, introduce malicious code, abuse automated requests, infringe third-party rights, or use the Service in a way that could materially harm the Service or other users. We may suspend access where reasonably necessary to investigate or stop misuse, security threats or material breaches.

9. Your data

You retain ownership of business data you or your authorised users enter into the Service. You grant us the limited rights necessary to host, copy, process, transmit and display that data to provide, secure, support and maintain the Service. You are responsible for the legality, accuracy and permissions associated with data you submit.

10. Our intellectual property

The Service, software, interface, branding, documentation and other materials supplied by Elvarise are owned by or licensed to Elvarise and are protected by applicable intellectual-property laws. Except for the limited right to use the Service under these Terms, no ownership rights are transferred to you.

11. Availability and changes

We aim to keep the Service available and reliable, but uninterrupted or error-free operation is not guaranteed. We may maintain, modify, replace or discontinue features where reasonably necessary. Plan features, limits and prices may change; where a change materially affects an existing paid subscription, we will take reasonable steps to give appropriate notice.

12. Charges and refunds

Prices and billing cycles are those shown or agreed when paid access is arranged. Taxes may apply where required by law. Except where required by law or expressly agreed otherwise, fees already paid are non-refundable. Nothing in these Terms excludes rights that cannot lawfully be excluded.

13. Liability

To the fullest extent permitted by law, neither party will be liable to the other for indirect or consequential loss arising from use of the Service. Elvarise’s aggregate liability arising out of the Service will not exceed the fees paid by the affected customer for the Service during the twelve months preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability where doing so would be unlawful, including liability for fraud or fraudulent misrepresentation, or death or personal injury caused by negligence where applicable.

14. Termination

You may stop using the Service at any time. We may suspend or terminate access for material breach, unlawful use, security risk, fraud, persistent non-payment or where continued provision of the Service would be unlawful. Where appropriate, we will provide reasonable notice and an opportunity to remedy a breach before termination.

15. Privacy

Our Privacy Policy explains how we handle personal data in connection with the Service.

16. Applicable law and disputes

These Terms are intended to operate across the jurisdictions in which the Service is lawfully offered. They will be interpreted and enforced subject to the laws that are applicable to the relevant relationship, transaction and parties. Nothing in these Terms limits any mandatory rights or protections that cannot lawfully be excluded under the laws of your jurisdiction.

If a dispute arises, the parties should first make reasonable efforts to resolve it informally. If it cannot be resolved, either party may pursue available remedies before a court or other competent forum that has jurisdiction under applicable law. These Terms do not require a customer to give up a mandatory local right to bring a claim in a forum available to them by law.

17. General

If a provision of these Terms is unenforceable, the remaining provisions continue in effect. A failure to enforce a right is not a waiver of that right. You may not assign these Terms without our written consent; we may assign them as part of a reorganisation, financing, merger, acquisition or transfer of the relevant business.

18. Changes and contact

We may update these Terms from time to time. Material changes will be communicated by reasonable means before they take effect where appropriate. Questions about these Terms can be sent to [email protected].
